1. Who we are
This website and the services described on it are operated by MKEYPRO ONLINE LLC, a limited liability company registered in the State of Wyoming, United States, with its registered office at 1309 Coffeen Avenue STE 1200, Sheridan, Wyoming 82801, United States. We trade as MPro Online Service. In these terms, “we”, “us” and “our” mean MKEYPRO ONLINE LLC; “you” and “your” mean the individual or entity engaging us.
You can reach us at Support@mpronliceservice.com or on +1 307 527 0409, Monday to Friday, 9:00–18:00 (UTC−7).
2. These terms
These terms apply to every engagement between you and us unless we have both signed a separate written agreement that says otherwise, in which case that agreement takes precedence. They should be read together with our delivery and fulfilment policy, our refund and cancellation policy and our privacy policy, all of which form part of the agreement between us.
3. How an engagement is formed
Nothing on this website is an offer to contract. An engagement begins only when all of the following have happened:
- we have sent you a written scope of work by email, setting out the deliverables, the number of revision rounds included, the delivery date and the total fee in US dollars;
- you have confirmed your acceptance of that scope in writing; and
- the deposit invoice has been settled and cleared.
We do not begin work and we do not take payment before you have approved the written scope.
4. Scope and changes
The written scope defines the work. If you ask for something that falls outside it — an additional deliverable, a different direction after sign-off, extra formats, or a change to the brief — we will tell you before we do the work and give you a separate written quote for it. You are free to decline. We will never carry out unscoped work and invoice you for it afterwards.
If circumstances outside either party’s reasonable control affect the timetable, we will tell you promptly and agree a revised date with you in writing.
5. Revisions
Each engagement includes a stated number of revision rounds. A round means one consolidated set of written feedback from you, followed by one revised presentation from us. Feedback submitted piecemeal across several messages will be treated as a single round where it is practical to do so.
Revision rounds cover refinement of the direction you have selected. Requests to abandon an approved direction and start again are a change of scope under section 4, not a revision.
6. Your responsibilities
To deliver on time we need you to:
- provide accurate briefing information, and any existing brand assets, fonts, licences or copy that the work depends on;
- respond to presentations and requests for feedback within the windows set out in the scope, ordinarily five business days;
- consolidate feedback from everyone in your organisation who has a say before sending it; and
- confirm that you own, or are licensed to use, any material you supply to us.
You are responsible for any material you provide. We are entitled to rely on your confirmation that you have the right to use it.
7. Fees, invoicing and payment
All fees are quoted, invoiced and payable in US dollars (USD). Unless the scope says otherwise:
- project engagements are invoiced 50% on acceptance of the scope and 50% on your approval of the final work, before files are released;
- ongoing Design Partner arrangements are invoiced monthly in advance;
- invoices are due within seven days of issue.
Payment is accepted by bank transfer or by card against a numbered invoice. Card payments are processed by a third-party PCI-DSS compliant payment processor. We do not receive, handle or store your full card details at any point. Fees are exclusive of any taxes, duties or bank charges that may apply in your jurisdiction, which are your responsibility. Where an invoice remains unpaid after its due date we may suspend work on notice to you until it is settled.
8. Delivery
Turnaround times, what starts the delivery clock, the file formats you receive and how files are handed over are set out in our delivery and fulfilment policy, which forms part of these terms.
9. Intellectual property
Transfer on payment. On receipt of payment in full, all rights, title and interest in the final designs approved by you under the engagement transfer to you. You may use them commercially, anywhere, for as long as you wish, without any further payment to us and without restriction on medium or territory.
What does not transfer. Concepts, directions and drafts you did not select, together with our working files, processes, methods and any pre-existing materials or tools of ours used in producing the work, remain our property.
Third-party materials. Where the work incorporates third-party assets — typefaces, stock imagery, icons — those remain subject to their own licences. We will tell you which licences apply and what you need to obtain. It is your responsibility to hold the correct licence for your intended use.
Originality and clearance. We warrant that our work is original to us and is not knowingly copied from any third party. We do not carry out trademark searches, clearance or registration, and we give no assurance that a design is available for registration or free from conflict in any jurisdiction. We recommend you take independent trademark advice before adopting a mark.
10. Confidentiality
We treat everything you share with us as confidential and will not disclose it to any third party except where we are required to by law. We will review and sign your non-disclosure agreement on request, before the briefing call.
11. Portfolio and publicity
We do not publish client work, name clients, or use any engagement in marketing without your prior written permission. Where permission is not given, the work remains unpublished indefinitely. The work shown on this website is our own in-house studio material.
12. Cancellation and refunds
Either party may end an engagement in the circumstances, and with the consequences, set out in our refund and cancellation policy. That policy states when a refund is available, how much is refundable at each stage, how to request one and how long it takes. It forms part of these terms.
13. Warranties and disclaimers
We warrant that we will perform the services with reasonable skill and care, in a professional manner, and in accordance with the agreed scope.
Design is a creative service. We can commit to the actions we will take and the deliverables we will produce; we cannot and do not guarantee any particular commercial outcome — including sales, traffic, engagement, funding, rankings or market response. Any statement we make about likely results is an opinion, not a guarantee. Except as expressly stated in these terms, the services are provided without further warranties of any kind, whether express or implied, to the fullest extent permitted by law.
14. Limitation of liability
Nothing in these terms limits or excludes liability for fraud, fraudulent misrepresentation, or any other liability that cannot lawfully be limited or excluded.
Subject to that, our total aggregate liability arising out of or in connection with an engagement, whether in contract, tort (including negligence) or otherwise, is limited to the total fees actually paid by you to us under that engagement. We are not liable for loss of profit, loss of revenue, loss of business, loss of anticipated savings, loss or corruption of data, or for any indirect or consequential loss.
15. Complaints and disputes
If you are unhappy with any part of the service, email Support@mpronliceservice.com with the word “Complaint” in the subject line. We will acknowledge it within one business day and give you a substantive written response within five business days.
We ask that you raise any dispute with us directly, and allow us a reasonable opportunity to resolve it, before initiating a chargeback or any formal proceedings. Most concerns are resolved quickly once we understand them, and a chargeback raised without contacting us first removes the opportunity to put the work right.
16. Website use
The content of this website is provided for general information about our services. We may change it at any time. You may not copy, reproduce or redistribute the design, code, text or imagery of this website without our permission. We take reasonable steps to keep this website available and secure, including serving it over HTTPS, but we do not warrant that it will be uninterrupted or error-free.
17. Changes to these terms
We may update these terms from time to time. The version in force for your engagement is the version published on this page on the date you accepted the written scope. Material changes will be reflected in the “last updated” date at the top of this page. Changes do not apply retrospectively to engagements already under way.
18. Governing law
These terms and any dispute arising out of them are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules. The courts of the State of Wyoming have exclusive jurisdiction, save that either party may seek injunctive relief in any competent court. If any provision of these terms is found unenforceable, the remaining provisions continue in full force.
